Subject: Establishment of an Executive Committee Administrative Subcommittee.
Currently, the Executive Committee does not have a formal process in place to conduct business in the interim between meetings. In the past, attempts of convening the Executive Committee by teleconference has met with mixed results. And, in the recent past, the chair of the Executive Committee, through email, had to ask the Executive Committee to grant her the authority to establish an ad hoc committee to act on behalf of the full committee to settle litigation. This informal process is cumbersome and does not allow for the Association to conduct its business efficiently and effectively.
Recommendation:
It is recommended that the Executive Committee establish an Administrative Subcommittee to address critical issues in the interim between meetings. This would allow the Executive Committee to act quickly and more efficiently in resolving core issues and matters (such as initiating and settling litigation) between meetings.
The composition of the Administrative Subcommittee would consist of four members, including the chair of the Executive Committee and the chairs of the three divisional presidential bodies.
The duties of the Administrative Subcommittee would be to transact items of business clearly necessary to promote the normal and orderly administration of the Association in the interim between meetings of the Executive Committee. The Administrative Subcommittee's decisions would be subject to ratification of the Executive Committee at the next regularly scheduled meeting.
